Terms & Conditions

Information on eligibility, contest mechanics, rewards, and the information in the Schedule form part of these Terms. Participation in the Contest is deemed acceptance of these Terms. Any capitalised terms used in these Terms have the meaning given in the Schedule, except where stated otherwise.

Eligibility & Entry

  • Subject to the sanctions clause below, entry is open to persons aged 18 years or over ("Participants"). Employees, immediate family members, contractors, suppliers, associated companies and agencies related to the Promoter are not eligible to participate in the Contest.
  • To enter the Contest, Participants must complete the Entry Procedure during the Contest Period. Entries may only be submitted with the /sendeffect command in Kinetik and will not be accepted by the Promoter in any other form. Social media posts, including posts with #kinetikeffect or a tag of @kinetik_agent, are not entries.
  • Participants may submit any number of entries. No more than 3 effects per Participant will be accepted, as specified in the Schedule.
  • Entries must be received by the Promoter during the Contest Period. An entry is deemed received when it is recorded by the Promoter's systems.
  • The Contest is not open to residents of countries subject to comprehensive UK, EU, U.S. or U.N. sanctions and export control restrictions as amended from time to time, including but not limited to North Korea, Iran, Cuba, Syria, the Russian Federation, Belarus, the Crimea region, and territories of the so-called entities of the Donetsk and Luhansk People's Republics. Persons or entities targeted by UK, EU, U.S. or U.N. sanctions cannot participate. Monetary rewards are additionally not available to Participants who are tax residents of the sanctioned territories listed above.
  • Each entry must be the original work of the Participant and created using the Kinetik platform. In creating the entry, the Participant must comply with the terms of the Kinetik platform, which are accessible at: https://kineto.app/terms ↗. Entries that are not created on or with the Kinetik platform will be automatically disqualified.
  • By submitting an entry, the Participant confirms that the effect is their own original work and is not copied from, or substantially similar to, an effect available on another platform or service, or already available in Kinetik.
  • The Participant confirms that they hold all necessary rights and permissions for any images or other materials used in or submitted with the entry, including the consent of any person who appears in them.
  • Small variations of the same effect (for example, a change of colour or wording only) count as one entry. Only one of them can become an Accepted Effect.
  • Incomplete and ineligible entries will be deemed invalid. Entries will also be deemed invalid if they breach these Terms as determined by the Promoter.
  • The Promoter reserves the right, at any time, to verify the validity of entries and Participants (including a Participant's identity, age and place of residence) and to disqualify any Participant. Failure by the Promoter to enforce any of its rights at any stage does not constitute a waiver of those rights.

Assessment of Entries

  • Entries are reviewed by the Promoter's team in accordance with the Review Details set out in the Schedule.
  • To be accepted, an effect must meet all of the following criteria: (a) it brings the photo to life with motion; (b) the difference between the original photo and the result is clear at first sight, without a caption; (c) it works with an ordinary photo from a phone gallery, without props, a studio or special preparation; and (d) it produces a consistent result when tested by the Promoter on five different photos chosen by the Promoter.
  • The Promoter checks every entry for originality and may reject any entry that, in its opinion, copies or closely resembles an existing effect.
  • An effect accepted by the Promoter under these Terms is an "Accepted Effect".
  • The Participant will be notified of acceptance or rejection by email to the address provided with the submission.
  • The Promoter decides the Publication Date of each Accepted Effect and will inform the Participant of it. The Promoter does not guarantee a particular Publication Date. The Publication Date may fall after the End Date.
  • The Promoter's determination of acceptance, the number of Unique Users and reward eligibility is final.
  • Participants are responsible for any and all expenses incurred when creating and submitting entries, including any Kinetik credits used.
  • In the event that a Participant's entry is deemed or found to be invalid, the Promoter may reject the entry and no reward will be issued.

Rewards

  • The Rewards are specified in the Schedule. Rewards are non-transferable.
  • The Usage Reward is calculated from the Promoter's own usage records. After the Publication Date, the Participant may ask Kinetik how many times their Accepted Effect has been used.
  • Uses by accounts belonging to or controlled by the Participant, and uses the Promoter reasonably considers artificial (including multiple accounts, automated activity, bots or coordinated activity to inflate usage), do not count towards the Usage Reward.
  • The Promoter may, but is not obliged to, feature Participants and their Accepted Effects on its social media channels, in Kinetik Mag and in other promotional materials.
  • The Promoter may, at its sole discretion: (a) reject entries that do not meet the criteria or quality standards set by the Promoter; and (b) suspend or revoke a Participant's eligibility and withhold any unpaid reward if the Participant is found to have breached these Terms.

Claiming Rewards

  • For each monetary reward, the Participant must submit a valid invoice to the Promoter, as instructed by the Promoter, within 30 days of the Promoter's request. Failure to submit an invoice within this period may result in forfeiture of the reward.
  • Monetary rewards will be paid within 30 days of receipt of a valid invoice.
  • The Participant is responsible for any taxes due on rewards received.

Intellectual Property

  • The Participant retains ownership of their entry.
  • By submitting an entry, the Participant grants the Promoter a non-exclusive, royalty-free licence to use, reproduce and test the entry for the purpose of assessing it under these Terms. If the entry is rejected, this licence ends when the Promoter notifies the Participant of the rejection.
  • When an entry becomes an Accepted Effect, the Participant grants the Promoter an exclusive, royalty-free, perpetual, worldwide, irrevocable and sub-licensable licence to use, reproduce, adapt, modify, create derivative works from, integrate into the Kinetik platform, make available to Kinetik users, distribute, display and publish the Accepted Effect, including its settings, instructions and any example images or videos, for the operation, promotion and marketing of the Kinetik platform and the Contest. "Exclusive" means that the Participant may not use, license, sell, submit or make the Accepted Effect, or a substantially similar effect, available on or through any other image or video generation platform, product or service, including by entering it into any contest, creator program or similar promotion run by or on such a platform, and may not grant any other person the right to do so.
  • The Participant may freely publish images and videos created with their Accepted Effect on social media and their own channels.
  • The rewards set out in the Schedule are the full consideration for the licences granted in this section.
  • Kinetik users may use any content they create with an Accepted Effect in accordance with Kinetik's terms of service.
  • The Promoter will credit the Participant as the author of each Accepted Effect in Atlas while the effect is available there. The Promoter may modify an Accepted Effect, or remove it from the Kinetik platform, at any time.
  • The Participant waives any moral rights in the entry, to the extent permitted by law, except for the right to be credited as set out above.
  • If the Participant objects to their name or entry being published in promotional materials, they should contact the Promoter at collab@kineto.app ↗.

  • Indemnity: The Participant agrees to indemnify the Promoter against any losses, damages and costs arising from a claim that their entry infringes the rights of a third party.

The Promoter may ask any Participant to provide proof of identity and of ownership of the email address provided.
  • Legal Warning: Any attempt, deliberate or otherwise, to cause malicious damage or interference with the normal functioning of the Kinetik platform, or the information on the platform, or to otherwise undermine the legitimate operations of the Contest may be a violation of criminal and civil laws and, should such an attempt be made, whether successful or not, the Promoter reserves the right to seek damages to the fullest extent permitted by law. If the Promoter suffers loss or incurs any costs in connection with any breach of these Terms or any other legal obligation by a Participant, the Participant agrees to indemnify the Promoter for those losses, damages and costs.

  • Amendments: These Terms may be amended or replaced from time to time if required by any regulatory authority, or where the Promoter considers it reasonably necessary to do so, provided reasonable notice is given.
  • Jurisdiction: These Terms are governed by the laws of England and Wales. Entrants submit to the jurisdiction of the courts of England and Wales.
  • Entire Agreement: These Terms represent the entire agreement between the Promoter and any Participant with respect to its subject matter and supersede any prior agreement, understanding or arrangement between the Promoter and any Participant, whether oral or in writing.
  • Representations: The Promoter excludes all warranties, guarantees or representations (whether express or implied) except as expressly provided in these Terms.
